Over the last 20 years Andrew Watkin (left) has been involved in advising clients on corporate finance, including the buying and selling of businesses, management buy-outs, business valuations, distribution of reserves to shareholders and general succession arrangements.

Andrew acts as a trusted adviser and is able to work as part of a team. For example, during the management buy-out process for Applied Scintillation Technologies, Andrew negotiated numerous points with HSBC Bank plc and Price Waterhouse Coopers on behalf of the company directors and clearly explained complex accounting and legal terms.

Andrew is able to help you in the following ways:

• Negotiate Heads of Agreement, which are then placed with Solicitors to draw up the purchase or sale agreement, thus saving you costs.
• Value the business for sale and discuss with you the payment/pay back period and the consideration making sure you are satisfied the price is reasonable.
• Structure the deal, particularly showing you the benefits of a share or asset purchase/sale.
• Produce cash flow forecasts with sensitivity analysis showing month by month the financial position for the acquired company which can be discussed with you in order to help you understand the financial risks of the transaction.
• Liase with Bank Managers and set out the conditions they are likely to request
• Work with experienced solicitors to complete the purchase.
• Produce Due Diligence reports for you to establish the nature of the business to be acquired and associated risks to you of such a transaction.
• Assist you in the time to completion of the purchase, to ensure that all the carefully devised plans and strategies are followed through to their conclusion.
